IntegrateWise — Technical Co-Founder
Status: TIER_A
Scope: Product/Business documentation
Canonical Owner: Product
Last Verified: 2026-07-12
1. EXECUTIVE SUMMARY
IntegrateWise is building the IW Continuity Bridge — the Operational Continuity Platform. We're looking for a technical co-founder to join as the engineering leader who will own the technical vision, architecture, and execution from seed through Series A.
This is not a job. This is a partnership.
The technical co-founder will be equal in equity, responsibility, and decision-making authority for all technical matters. They will build the engineering team, own the architecture, and be the technical face of the company to investors, customers, and the broader ecosystem.
2. WHAT THIS MEANS
2.1 Not an Employee
- Equity: 10-15% equity with 4-year vesting (not salary + bonus)
- Decision-making: Equal vote on technical decisions, significant input on business decisions
- Risk: Shared risk — if the company fails, you lose your time and investment
- Reward: Shared upside — if the company succeeds, your equity is worth multiples of any salary
- Culture: You're building the company, not working for it
2.2 Not a Freelancer
- Commitment: Full-time, dedicated focus (not project-based)
- Equity: Meaningful ownership (not hourly compensation)
- Scope: Entire technical domain (not scoped deliverables)
- Timeline: Multi-year journey (not a sprint)
- Investment: You're investing time + capital (not just selling hours)
2.3 Not a Contractor
- Duration: Permanent role (not term-limited)
- Authority: Technical leadership (not task execution)
- Ownership: You own the architecture (not just implement it)
- Team: You'll hire and lead engineers (not work solo)
- Strategy: You shape the technical roadmap (not follow it)
3. WHY INTEGRATEWISE NEEDS THIS
3.1 The Technical Challenge
IntegrateWise is solving a hard problem: operational continuity across disconnected tools. This requires:
- Spine Architecture: A canonical truth store that normalizes data from 50+ tools (Salesforce, HubSpot, ServiceNow, Atlassian, etc.) into a single operational memory
- Governed AI: Twin as a silent partner that proposes actions, not executes them. Human approval gates every consequential execution
- Cloudflare-Native: 100% Cloudflare infrastructure (D1/KV/R2/Vectorize/AI Search/Durable Objects) for global scale
- MCP Protocol: First-class support for Model Context Protocol, enabling AI agents to interact with operational data
- Real-time Continuity: Preserving context across sessions, tools, and team members
3.2 The Founder's Constraint
The founder (Nirmal) is a systems architect with deep domain expertise in continuity systems. However, building a world-class technical team and scaling the architecture requires a dedicated engineering leader who can:
- Own the day-to-day technical execution
- Build and lead the engineering team
- Make architectural decisions that scale from Customer Zero to 100+ customers
- Represent the technical vision to investors and customers
- Balance speed (ship fast) with quality (build right)
3.3 The Opportunity
This is a rare opportunity to:
- Join at the ground floor of a platform play in a $50B+ market
- Own the technical vision of a novel architecture (Spine, governed AI, Cloudflare-native)
- Build the engineering team from scratch (first 10-15 engineers)
- Shape the technical roadmap from seed through Series B
- Participate in the India cost advantage — ₹5.5Cr runway = ₹20-25Cr US equivalent
4. THE PROFILE
4.1 Must Have (Non-Negotiable)
| Requirement | Why It Matters |
|---|---|
| 5+ years building production systems | We need someone who's shipped at scale, not just prototyped |
| Full-stack proficiency (React + Node/Python) | IntegrateWise is a full-stack platform; you'll touch everything |
| Database design and optimization | Spine architecture requires sophisticated data modeling |
| API design and integration | We're connecting 50+ tools; API expertise is critical |
| Cloud/infrastructure experience | Cloudflare-native architecture requires modern infra skills |
| Communication skills | You'll represent the technical vision to investors, customers, and team |
| Self-directed execution | Early-stage = no hand-holding; you must drive results |
4.2 Strong Signals (Differentiators)
| Signal | Why It's Valuable |
|---|---|
| Experience with operational tools (CRM, ERP, ITSM) | Domain expertise accelerates architecture decisions |
| Cloudflare experience (Workers, D1, KV, R2) | We're 100% Cloudflare; prior experience = faster ramp |
| AI/ML integration experience | Twin is core to the product; AI experience is valuable |
| Open-source contributions | Shows community engagement and code quality |
| Prior startup experience | Understands the chaos, speed, and tradeoffs of early-stage |
| Technical writing/speaking | Helps with hiring, marketing, and investor communication |
| India-based (Tier 1 or 2 city) | Cost advantage + timezone alignment for global support |
4.3 Disqualifiers (Red Flags)
| Disqualifier | Why It's a Problem |
|---|---|
| Only enterprise experience | We need startup speed, not enterprise process |
| Only frontend OR only backend | We need full-stack; you'll touch everything |
| No production experience | Prototypes ≠ production; we need someone who's shipped |
| Poor communication skills | You'll represent the technical vision; clarity matters |
| Risk-averse mindset | Early-stage requires calculated risk-taking |
| Salary-only mindset | This is equity-driven; if you need high salary, this isn't the right fit |
| Unwilling to invest capital | We need skin in the game; pure sweat equity isn't enough |

7.2 Why This Structure Works
- Skin in the game: You're investing real money, not just time
- Reduced salary pressure: No salary = more runway for the company
- Alignment: Your financial outcome is tied to company success
- Flexibility: Can adjust investment based on personal situation
- Tax efficiency: Capital gains treatment vs salary taxation
8. INVESTMENT AGREEMENT OPTIONS
8.1 Option A: Direct Equity Purchase
Structure:
- Purchase shares at current valuation (₹30Cr pre-money)
- No vesting on purchased shares (separate from equity grant)
- Standard investor rights (pro-rata, information rights)
Pros:
- Clean, simple structure
- Immediate ownership (no cliff risk)
- Clear tax treatment (capital gains)
Cons:
- Requires upfront cash (₹10-15L)
- No protection if you leave early
- May complicate cap table
Best for: Someone with significant savings who wants immediate ownership
8.2 Option B: Sweat + Cash Discount
Structure:
- 50% equity grant (with vesting)
- 50% equity purchase (at discount)
- Discount: 20-30% off current valuation
- Vesting: Standard 4-year with 1-year cliff on grant portion
Example (Scenario B - 15% total):
- 7.5% grant (vesting over 4 years)
- 7.5% purchase at ₹22.5Cr valuation (25% discount)
- Investment required: ₹16.9L (vs ₹22.5L at full valuation)
Pros:
- Reduces cash requirement
- Balances risk/reward
- Aligns incentives (vesting + investment)
- Clear structure for investors
Cons:
- More complex legal structure
- Requires valuation agreement
- Two different share classes possible
Best for: Someone with moderate savings who wants balanced risk/reward
8.3 Option C: Convertible Note
Structure:
- Convertible note with valuation cap
- Note converts at Series A (or trigger event)
- Cap: ₹40Cr (33% premium to current valuation)
- Discount: 20% to Series A price
- Interest: 8% annually
Example (Scenario B - 15% target):
- Note amount: ₹15L
- Conversion at Series A (₹150Cr pre-money)
- Note converts to equity at ₹40Cr cap
- Result: ~1.2% additional equity (on top of 15% grant)
Pros:
- Defers valuation decision
- Aligns with investor terms
- Lower upfront cash requirement
- Simple legal structure
Cons:
- Dilutes at Series A (on top of investor dilution)
- Requires Series A to trigger conversion
- More complex cap table math
Best for: Someone who wants to defer the investment decision until later
9. RECOMMENDED OPTION
Option B: Sweat + Cash Discount (Recommended)
Why:
- Balanced risk/reward: You're investing time (vesting) AND money (cash discount)
- Reduced cash requirement: 25% discount = ₹16.9L vs ₹22.5L
- Clear structure: Investors understand this pattern
- Alignment: Vesting protects the company; investment protects you
- Flexibility: Can adjust discount based on personal situation
Recommended structure:
- Total equity: 15% (Scenario B)
- Grant portion: 7.5% (4-year vesting, 1-year cliff)
- Purchase portion: 7.5% at ₹22.5Cr valuation (25% discount)
- Investment required: ₹16.9L

| Am I comfortable with 0 salary for 12-18 months? | Equity-first model requires financial stability |
| Do I believe in this market? | Operational continuity is a real problem; conviction matters |
| Can I work with this founder? | Co-founder relationship is critical; cultural fit matters |
